1. Applicability
1.1 These general terms and conditions govern all proposals, agreements, and deliveries regarding interactive calculators and quizzes developed by Nudge Digital (Consulting with Tom) exclusively for business clients (B2B).
2. Offer and Agreement
2.1 The agreement is formalized upon written approval (e.g., via email) by the client. Given the bespoke nature of the software developed specifically for commercial entities, standard consumer withdrawal rights do not apply.
3. Development and Integration
3.1 Nudge Digital delivers the final software asset via an iFrame embed code. The client assumes full responsibility for the correct integration and placement of this code within their own Content Management System (CMS).
4. Rates and Payment terms
4.1 The initial setup fee is invoiced prior to the commencement of development. The recurring monthly retainer (covering hosting, maintenance, and relevant content updates) is billed in advance with a 14-day payment term. If payment is delayed by more than 30 days, hosting services may be temporarily suspended.
5. Intellectual Property
5.1 All intellectual property rights pertaining to the developed source code and underlying JavaScript logic remain the exclusive property of Nudge Digital (Consulting with Tom). The client is granted a non-transferable operating license valid for the duration of the active retainer. Copying, reverse engineering, or duplicating the asset for third parties is strictly prohibited.
6. Termination
6.1 Unless otherwise stipulated in an annual agreement, the retainer carries a minimum commitment of 1 to 3 months, after which it may be canceled on a month-to-month basis with a 30-day notice period.
7. Liability
7.1 Nudge Digital provides tools to optimize conversion but makes no absolute revenue guarantees. Total liability is capped at a maximum of the paid one-time setup fee associated with the specific agreement.
8. Data Processing Agreement (DPA)
To the extent that Nudge processes personal data of the client’s website visitors during the execution of the agreement, Nudge will provide a Data Processing Agreement upon request to ensure full alignment with GDPR guidelines.
9. Governing Law
9.1 All legal relationships are governed exclusively by Dutch law.
